RBI Secures Majority Stake in Addiko Bank

Raiffeisen Bank International (RBI) has successfully secured 56.16 percent of Addiko Bank shares, surpassing its 55 percent minimum acceptance threshold. The takeover offer period concluded on Wednesday, July 29, 2026, with RBI receiving acceptance declarations for 10,831,435 shares at 26.50 euros per share. This follows a competing offer of 37.00 euros per share from Nova Ljubljanska banka. Addiko Bank, which originated from the Hypo-Alpe-Adria Balkan banks, did not distribute dividends for 2024 or 2025. The Alta Group d.o.o. currently holds 9.63 percent of shares. RBI plans to retain Addiko's business operations in Austria, Croatia, and Slovenia, while divesting markets in Serbia, Bosnia and Herzegovina, and Montenegro through a carve-out process.
